This Consent to Automated Text Messages and Emails (the “Agreement”) is entered into as of the Effective Date set forth below, by and between Nexus HuBoard, LLC, an Indiana limited liability company doing business as ten (the “Provider”), and the individual or entity identified on the signature page of this Agreement who has registered for a subscription for services (the “Customer”). Provider and Customer may be referred to herein collectively as the “Parties” or individually as a “Party.”
WHEREAS
- Provider offers and provides access to the services to its customers.
- Customer desires to access such services, and Provider agrees to provide Customer access to the services, subject to the terms and conditions of this Agreement.
NOW, THEREFORE
In consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. CONSENT TO COMMUNICATIONS
By registering and using the services, Customer represents and warrants that:
- They are the owner of the registered email address and mobile phone number or have the delegated legal authority to act on behalf of the owner.
- They expressly consent to receive emails and text messages from Provider regarding the services.
- They acknowledge that Provider’s agents may utilize automated telephone dialing systems in connection with text messages sent to the registered mobile phone number.
Notification of Changes
Customer agrees to:
- Immediately notify Provider if any registered email address or mobile phone number is surrendered or changed.
- Provide written notice to Provider of any changes to their email address or mobile phone number.
2. SMS TEXT COMMUNICATION TERMS
Opt-In to SMS Communications
By opting into Provider’s Short Message Service (SMS) communications, Customer acknowledges and agrees to these SMS terms and the accompanying Privacy Notice.
Customer may receive automated text messages regarding billing notifications, payment links, account updates, reminders, and related service communications.Consent to Receive SMS Messages
By providing their mobile phone number, Customer expressly consents to receive SMS messages from Provider regarding billing status, account notifications, and service-related updates.
- Message frequency may vary based on interactions between Customer and Provider.
- Message and Data Rates – Standard message and data rates may apply based on Customer’s mobile carrier and plan. Customer is solely responsible for any charges incurred for receiving SMS messages and any fees imposed by their wireless carrier for data, text, or message services.
3. OPT-IN AND OPT-OUT PROCESS
Opt-In Process (Consent Confirmation)
- Customer initiates a subscription by sending “START” or “SUBSCRIBE” to Provider’s toll-free number.
- Provider responds with:
“By replying YES, you consent to receive automated SMS messages from [ten]. Standard messaging rates may apply. Reply YES to confirm.” - Customer replies “YES,” thereby consenting to receive future automated communications.
- Provider confirms the subscription with:
“You have successfully subscribed to [ten]. You may receive periodic messages. Reply STOP anytime to opt out. Text HELP for assistance.”
Opt-Out Process (Withdrawal of Consent)
- Customer requests to unsubscribe by sending “STOP” or “UNSUBSCRIBE” to Provider’s toll-free number.
- Provider responds with:
“By replying YES, you confirm that you no longer wish to receive messages from [ten]. Reply YES to complete your opt-out request.” - Customer replies “YES,” confirming their withdrawal of consent.
- Provider confirms the opt-out with:
“You have successfully unsubscribed from [ten]. You will no longer receive messages. If you wish to rejoin, reply START.” - Important Notice: Opting out may affect Customer’s ability to receive certain service-related communications.
4. COMPLIANCE & BEST PRACTICES
Provider adheres to the following best practices to ensure compliance with applicable laws:
- Clear Disclosure – Transparent notification about automated messaging, potential fees, and privacy policies.
- Double Opt-In Process – Customers must confirm intent before activation.
- HELP Keyword Support – Customers can receive assistance and guidance on opt-in/out terms.
- Record Keeping – Opt-in and opt-out requests are securely logged for compliance tracking.
5. AGREEMENT EXECUTION
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the Effective Date.
